Important: Please read and understand this information. Should this raise any questions that we have not already discussed, it is vital that you contact EDS Solutions Lincs Ltd before work begins to ensure you fully agree and understand.

Scope of Work:

  • Supplied goods: As per the list in the individual quote.
  • Tiles: Not included unless specified.
  • Rubbish removal: The customer is responsible for removing all rubbish from the site unless otherwise stated.

Changes to Schedule:

  • Start date changes: If the start date is changed, no compensation can be claimed from EDS Solutions Lincs Ltd. You will be informed if this happens.

Guarantees & Warranties:

  • Work guarantee: 18 months, with products covered by the manufacturer’s warranty.
  • Customer-supplied products: Must be on-site and quality-checked before the start date. Faulty customer-supplied products are excluded from the guarantee.
  • Prepared walls/floors: Must be in good condition and ready by the start date.

Unforeseen Work:

  • Any additional work that arises must be negotiated separately.

Asbestos Handling:

  • If asbestos is uncovered, it must be dealt with professionally at the customer’s cost.

Responsibility Limitations:

  • EDS Solutions Lincs Ltd is not responsible for existing installations or setups, including electrical work or central heating systems (boilers/radiators).

References:

  • EDS Solutions Lincs Ltd is happy to provide references from prior customers upon request.

Quotation Validity:

  • This quotation is valid for 30 days from the date of issue.

Payment Terms:

  • 10% deposit upon agreement of the quotation.
  • 40% on the start day or delivery of goods.
  • Remainder due upon completion of work.

Ownership: All goods remain the property of EDS Solutions Lincs Ltd until full payment has been received.
Non-refundable deposit: If the customer cancels within 14 days of the start date, the deposit is non-refundable.

Legal Terms:

Limitation of Liability:

EDS Solutions Lincs Ltd will not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits, loss of business, or loss of data resulting from any delay or failure to perform services. Our liability will be limited to the total amount paid by the customer for the specific work performed.

Force Majeure:

EDS Solutions Lincs Ltd shall not be held liable for any failure to perform or delay in performing its obligations due to any event beyond its reasonable control, including but not limited to acts of God, war, strike, lockout, pandemic, government restrictions, or natural disasters.

Dispute Resolution:

Any disputes, controversies, or claims arising out of or in connection with this agreement shall first be attempted to be resolved through negotiation between the parties. If unresolved, disputes will be settled by binding arbitration in accordance with the rules of the relevant arbitration association, and the venue shall be [insert location].

Intellectual Property:

All intellectual property created by EDS Solutions Lincs Ltd during the provision of services, including designs, plans, drawings, and any other materials, shall remain the exclusive property of EDS Solutions Lincs Ltd unless otherwise agreed in writing.

Confidentiality:

Both parties agree to keep all information exchanged during the course of this contract confidential. This includes, but is not limited to, pricing, trade secrets, and any proprietary information shared.

Termination:

Either party may terminate this agreement with written notice if the other party materially breaches the terms and fails to cure the breach within a reasonable time. In the event of termination, the customer agrees to pay for all work completed up to the termination date.

Governing Law:

This agreement shall be governed by and construed in accordance with the laws of [insert country or region], and the parties agree to submit to the exclusive jurisdiction of the courts in [insert location].

Entire Agreement:

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or discussions regarding the subject matter hereof.
